Herkmate Terms of Service: User Agreement & Legal Guidelines

By accessing, browsing, or using the herkmate website, mobile application, or any associated services (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms in their entirety, you must immediately discontinue all use of the Platform.

These Terms constitute a legally binding agreement between you ("User" or "you") and herkmate ("we," "us," or "our"). We reserve the right to modify these Terms at any time. Continued use of the Platform after such modifications constitutes your acceptance of the revised Terms.

herkmate provides an online platform designed to facilitate connections between consenting adults for the purposes of dating, social networking, and local meetups. Our services include, but are not limited to:

• Platform administration, security, and customer support.

You understand and agree that herkmate is merely a venue providing tools for connection. We are not a party to any agreements or interactions between users, nor are we involved in the actual meeting of individuals offline. We do not screen users or verify the accuracy of information posted on the Platform.

To maintain a safe and respectful community, you agree to the following responsibilities:

1. Eligibility: You affirm that you are at least 18 years of age, or the age of majority in your jurisdiction, and are legally competent to enter into this agreement.
2. Account Integrity: You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must provide accurate, current, and complete information during registration and keep it updated.
3. Acceptable Use: You agree to use the Platform lawfully and ethically. You will not:
   • Harass, threaten, or defraud any other user.
   • Post false, misleading, or illegal content.
   • Impersonate any person or entity.
   • Use the Platform for any commercial solicitation or spam.
   • Upload viruses or malicious code, or attempt to disrupt the Platform's integrity or performance.
   • Violate any applicable local, state, national, or international law.
4. Content Ownership: You retain ownership of the content you submit, but you grant herkmate a worldwide, non-exclusive, royalty-free license to use, display, and distribute such content for the purpose of operating the Platform.

All rights, title, and interest in and to the Platform (excluding User-generated content) are and will remain the exclusive property of herkmate and its licensors. This includes, without limitation:

• The herkmate name, logo, trademarks, and service marks.
• The design, layout, "look and feel," and graphical elements of the Platform.
• Our proprietary software, algorithms, and databases.
• All text, graphics, images, audio, video, and other content created by or for herkmate.

These Terms do not grant you any right, license, or interest in any such intellectual property. You may not copy, modify, distribute, sell, or lease any part of our Platform or software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit these restrictions or you have our written permission.

To the fullest extent permitted by applicable law, in no event shall herkmate, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

1. Your access to or use of or inability to access or use the Platform.
2. Any conduct or content of any third party on the Platform, including without limitation, any defamatory, offensive, or illegal conduct of other users.
3. Unauthorized access, use, or alteration of your transmissions or content.
4. Statements or conduct of any user or third party on the Platform.

Our total cumulative liability to you for all claims arising from or related to the Platform shall not exceed the greater of one hundred dollars ($100 USD) or the amount you have paid to herkmate in the twelve (12) months preceding the event giving rise to the claim.

Your use of the Platform is at your sole risk. The Platform is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied. herkmate expressly disclaims all warranties, including, but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
• Any warranty that the Platform will meet your requirements, be uninterrupted, timely, secure, or error-free.
• Any warranty regarding the accuracy, reliability, or quality of any information, content, or connections obtained through the Platform.
• Any warranty that defects will be corrected.

No advice or information, whether oral or written, obtained from herkmate or through the Platform, will create any warranty not expressly stated herein.

We may, in our sole discretion, suspend or terminate your account and access to the Platform immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

Upon termination, your right to use the Platform will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

You may terminate your account at any time by deactivating it through your account settings or by contacting us. Please note that deactivation may not immediately remove all your content from our systems.

These Terms shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Platform shall be instituted exclusively in the courts located in the United Kingdom. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Platform.
